These Terms of Service constitute a legally binding agreement between you and RORCK PAY LIMITED ("UPPAYLINKS", "we", "us", or "our"). By accessing or using the website at uppaylinks.com (the "Site") and any services made available through the Site (collectively, the "Services"), you agree to be bound by these Terms of Service (the "Terms"). If you are using the Services on behalf of a business entity, you represent that you have authority to bind that entity, and "you" refers to both you individually and that entity. 2. Description of Services

UPPAYLINKS is not a bank. Payment and settlement services are facilitated through licensed partners and regulated financial institutions. Certain Services may be subject to separate product-specific terms, which will apply in addition to these Terms.
3. Account Registration and Security
You must provide accurate, current, and complete information when registering for an account and must promptly update such information to keep it accurate. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify UPPAYLINKS immediately of any unauthorized use of your account or any suspected security breach. UPPAYLINKS will not be liable for any loss arising from your failure to safeguard your credentials.
4. User Representations and Warranties
By using the Services, you represent and warrant that:
- You are at least 18 years of age and have full legal capacity to enter into these Terms;
- All information you provide to Uppaylinks, including identity, business, and transaction information, is true, accurate, and not misleading;

5. Prohibited Activities
You may not use the Services for any unlawful, fraudulent, or prohibited purpose. Prohibited activities include, without limitation: money laundering, terrorist financing, fraud, sanctions evasion, identity theft, dealing in counterfeit goods, illegal gambling, unlicensed money transmission, and any transaction involving proceeds of crime. Uppaylinks reserves the right to determine, in its sole discretion, whether a particular activity or business category is prohibited or high-risk, and to refuse, condition, suspend, or terminate Services accordingly.
6. Compliance and Verification
You agree to cooperate with UPPAYLINKS' compliance processes, including providing such identity, business, and transaction documentation as Uppaylinks may reasonably request for KYC (Know Your Customer), KYB (Know Your Business), AML, CTF, and sanctions screening purposes. UPPAYLINKS may verify information through third-party sources and may suspend or restrict your account pending completion of verification. Failure to provide requested information may result in the refusal or termination of Services.
7. Fees and Payment
You agree to pay all applicable fees associated with your use of the Services as set forth in the applicable fee schedule or product terms. Fees may vary based on transaction volume, payment method, currency pair, and corridor. UPPAYLINKS reserves the right to modify its fee structure upon notice in accordance with Section 18 (Notices). Unless otherwise stated, all fees are exclusive of taxes, and you are responsible for any applicable taxes arising from your use of the Services.
8. Set-off
To the extent permitted by applicable law, UPPAYLINKS may set off any amount you owe to UPPAYLINKS against any funds or amounts held by UPPAYLINKS for your benefit, without prior notice where UPPAYLINKS reasonably determines that such action is necessary to protect against loss, fraud, or regulatory risk. Any exercise of set-off shall be carried out in good faith and reflected in your account records.
9. Intellectual Property
The Site and the Services, including all content, software, trademarks, logos, and underlying technology, are owned by UPPAYLINKS or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services solely for their intended purpose in accordance with these Terms. You may not copy, modify, distribute, reverse-engineer, or create derivative works of any part of the Site or Services without UPPAYLINKS’ prior written consent.
10. Confidentiality
Each party agrees to keep confidential all non-public information received from the other party in connection with the Services, including business plans, customer data, pricing, and technical information, and to use such information solely for the purpose of performing obligations under these Terms. This obligation does not apply to information that:
- Is or becomes publicly available through no breach of this section;
- Was lawfully known to the receiving party before disclosure;
- Is independently developed without use of the disclosing party's confidential information; or
- Is required to be disclosed by applicable law or a competent regulatory authority, provided that the receiving party gives the disclosing party prompt notice where legally permitted.
Confidentiality obligations survive termination of these Terms for a period of three (3) years, except for trade secrets, which shall be protected for as long as they remain trade secrets under applicable law.
11. Disclaimers
Except as expressly set forth in these Terms, the Services are provided on an "as is" and "as available" basis. UPPAYLINKS does not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any transaction will be completed within a particular timeframe. UPPAYLINKS does not guarantee the actions or solvency of any third-party financial institution, payment network, or counterparty involved in a transaction. Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under applicable law.
12. Limitation of Liability
To the maximum extent permitted by applicable law, UPPAYLINKS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of or inability to use the Services, even if UPPAYLINKS has been advised of the possibility of such damages. UPPAYLINKS' aggregate liability arising out of or relating to these Terms shall not exceed the total fees paid by you to UPPAYLINKS for the Services giving rise to the claim during the three (3) months preceding the event giving rise to the liability.
13. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent caused by a Force Majeure Event. "Force Majeure Event" means any circumstance beyond the reasonable control of the affected party, including natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, embargoes, telecommunication or power failures, and failures of third-party payment networks or financial institutions not caused by the affected party's negligence. The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact. If a Force Majeure Event continues for more than thirty (30) consecutive days, either party may terminate the affected Services upon written notice without liability for such termination.
14. Indemnification
You agree to indemnify, defend, and hold harmless UPPAYLINKS and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms;
- Your violation of any applicable law or the rights of any third party; or
- Any transaction or activity conducted through your account.
15. Termination
UPPAYLINKS may suspend, restrict, or terminate your access to the Services, in whole or in part, at any time and with or without notice, if:
- You breach these Terms;
- UPPAYLINKS is required to do so by law or a regulator;
- UPPAYLINKS reasonably suspects unauthorized, fraudulent, or unlawful activity; or
- Your account remains inactive for an extended period.
You may close your account at any time by contacting UPPAYLINKS, provided that all outstanding obligations are settled. Termination does not relieve you of liability for transactions or obligations incurred prior to termination.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Kelowna, British Columbia, Canada. Nothing in this section prevents UPPAYLINKS from seeking injunctive relief in any court of competent jurisdiction.
17. Changes to These Terms
UPPAYLINKS reserves the right to modify or update these Terms at any time. Material changes will be notified in accordance with Section 18 (Notices) prior to taking effect. Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
18. Notices
Notices to you may be given by posting on the Site, by email to the address associated with your account, or through your account dashboard, and are deemed effective upon posting or sending.
